Can I be held personally liable for the company's debts?
What are the essential clauses in a commercial contract?
At a minimum: a clearly defined scope of work, price and payment terms, performance deadlines, late payment penalties, termination conditions, and a jurisdiction clause. The absence of any of these can lead to costly ambiguity.
How long does a commercial dispute take?
This varies significantly depending on the complexity of the case and the court. A simple debt collection dispute can take 6–12 months. A complex dispute between shareholders or an insolvency proceeding can take more than 3–5 years.
Can a partner be removed from an LLC?
Yes, under the conditions set forth in Law 31/1990, if a partner has defrauded the company, used its assets for personal gain, or hindered the company’s normal operations. The procedure is carried out through the courts.
